Governing Law: Regional Option
1. Institutional Licensing Model
EducaSphere provides institutional access based on a Student-Tiered license model. A 'License' grants the Institution the right to process data for a specific volume of enrolled students. Staff and Administrator accounts are unlimited within the bounds of fair use and system stability quotas.
2. Multi-Tenant Service Delivery
Services are delivered via an isolated institutional instance. The Institution is responsible for the configuration of its tenant environment, including the management of user permissions (RBAC), term dates, and financial billing cycles. EducaSphere provides the infrastructure; the Institution provides the governance.
3. Service Level Agreement (SLA)
We guarantee 99.9% uptime for standard tiers and 99.99% for Enterprise Gold tiers. Uptime is measured monthly. In the event of a breach of SLA, institutional credits are applied to the subsequent billing cycle as the sole and exclusive remedy for service unavailability.
4. Acceptable Institutional Use
The platform must not be used to store or transmit illegal content, or to circumvent educational regulatory requirements. Institutions must ensure that all staff with access to sensitive student data have undergone the necessary local background checks and safeguarding training.
5. Proprietary Rights & Data Ownership
EducaSphere retains all Intellectual Property rights to the platform Go-engine, SQLC-generated schemas, and Flutter-based UI components. The Institution retains absolute and unconditional ownership of all institutional data, student records, and intellectual property created by its staff within the platform.
6. Limitation of Liability
EducaSphere's total liability for any claim arising from these terms shall not exceed the total amount paid by the Institution for the 12 months preceding the claim. We are not liable for academic outcomes, institutional financial losses, or data breaches resulting from compromised institutional credentials.
7. Billing, Taxes & Audit Rights
Subscription fees are invoiced annually or monthly as specified in the Order Form. Payments are due within 30 days of the invoice date. Late payments may result in service suspension. EducaSphere reserves the right to audit the Institution’s active student count up to twice per year to ensure compliance with the selected licensing tier.
8. Indemnification & IP Warranty
EducaSphere warrants that the platform is an original work and does not infringe upon any third-party intellectual property rights. We will indemnify and defend the Institution against any third-party claims alleging that the platform infringes a valid patent or copyright, provided we are given immediate notice and control of the defense.
9. Force Majeure & Governing Law
Neither party shall be liable for delays caused by circumstances beyond their reasonable control (Acts of God, national strikes, etc.). This agreement is governed by the laws of the Republic of Ghana, and any disputes shall be settled in the competent courts of Accra, unless otherwise specified in a signed regional Data Processing Addendum (DPA).
10. Term & Termination
Subscription Period
Standard terms are 12 months, auto-renewing unless cancelled 60 days prior.
Data Portability
Upon termination, institutions have 60 days to export all data in CSV/JSON formats.
Breach of Conduct
We reserve the right to suspend tenants engaging in harmful or fraudulent activity.
